Terms of Service

Welcome to SpeedsPath. These Terms of Service (“Terms”) govern your use of our Lab Information System ("LIS", "Service", or "Platform"). By accessing or using the LIS, you agree to be bound by these Terms. Where there is a conflict between this Terms of Service writeup and the duly signed Licensing Agreement, the latter shall prevail.

  • Use of Service

    • Eligibility
      You must be at least 18 years old and authorized to act on behalf of your organization to use our LIS.
    • Account Responsibility
      You are responsible for maintaining the confidentiality of your account credentials. Any activity under your account is your responsibility.
    • Authorized Use
      You agree to use the LIS only for lawful and authorized medical, laboratory, and clinical purposes.

  • Data and Privacy

    • Data Ownership
      All data entered by you remains your property. We do not claim ownership of your patient or lab data. We reserve the right to aggregate and use this data for product improvements, statistical and trending purposes and for better healthcare outcomes.
    • Data Protection
      We implement industry-standard security measures. However, you acknowledge that no system is completely secure and agree to use appropriate caution.
    • Compliance
      You are responsible for ensuring your use of the LIS complies with applicable data protection laws such as HIPAA, GDPR, or local regulations.

  • Service Availability and Updates

    • Uptime
      We strive for an uptime per service level agreement with our subscribers but do not guarantee uninterrupted access. Scheduled maintenance may occur with notice with a goal to be least disruptive to our users. However, urgent system issues may require us to deny user access temporarily.
    • Updates
      We may deploy patches, updates, or changes to improve the Service. These may be automatic and without prior notice.

  • Fees and Payment

    If the LIS is a paid service:
    • Fees will be outlined in your subscription or contract.
    • Failure to pay may result in suspension or termination of access.

  • Termination

    We may suspend or terminate your access if you:
    • Violate these Terms.
    • Use the LIS for illegal or unauthorized purposes.
    • Fail to pay applicable fees.
    You may terminate your account with a written notice per the user agreement terms.

  • Intellectual Property

    The software, UI, and all intellectual property within the LIS remain the property of SpeedsPath, Inc. and are protected by law. You may not reverse engineer, copy, or distribute any part of the platform.

  • Limitation of Liability

    To the fullest extent permitted by law, we are not liable for:
    • Any indirect, incidental, or consequential damages.
    • Loss of data or business interruption.
    Use of the LIS is at your own risk.

  • Indemnification

    You agree to indemnify and hold SpeedsPath harmless from any claims, damages, or expenses arising from your use of the LIS.

  • Governing Law

    This Agreement shall be construed and enforced according to the laws of the State of Delaware and any dispute under this Agreement must be brought to Santa Clara County, CA and no other venue.

  • Changes to Terms

    We reserve the right to update these Terms at any time. Continued use of the LIS after changes constitutes acceptance.
